Introduction to the role:
We are looking for an ambitious and experienced lawyer to join our leading corporate team in Liverpool. The team, headed up by Matt Noon, is recognised for their combination of technical expertise, commercial acumen and excellent client service.

Introduction to the team:
Our highly experienced and recognised corporate team operates from our offices in Liverpool, Manchester, Birmingham, London, Leeds, Hong Kong and Singapore. We offer our clients accessible corporate support from our experienced national and international network and specialise in advising a range of clients, from large-listed companies and private equity funds to smaller start-up and owner-managed businesses and management teams on the full range of transactions – both domestic and cross-border.

Key responsibilities:
  • Corporate restructurings, shareholders agreements, joint ventures, and limited liability partnership agreements, specifically drafting the principal documents.
  • To produce clear, concise and unambiguous documentation.
  • Supporting on mergers or acquisitions or disposal transactions for corporate clients
  • Supporting/leading acquisition and disposal of business and assets and/or shares
  • Supporting on public company transactions, such as IPO’s or equity fundraisers.
  • Leading due diligence exercises, data room reviews or management and disclosure processes (be it in relation to buy side or IPO legal due diligence work or sell side legal disclosure work)
  • Negotiate the terms of transaction documents.
  • Transaction management and administration, including liaison with key client contacts and local counsel.
  • Management and supervision of junior associates, trainees and paralegals and build excellent working relationships with partners and more senior members of the team.
  • Development of own internal and external network of contacts and play a significant role in business development for the team.
  • Attend and help to arrange business development and profile-raising events (client seminars, legal directories updates and submissions, website news and publications on social media).
  • Develop and maintain legal knowledge and understanding both generally and in core areas.
  • Assisting with business development and tenders including(where appropriate) research about clients and targets

What are we looking for:

Important criteria:
  • Qualified Solicitor or equivalent
  • Clear and demonstrable experience completing M&A transactions.

It would be beneficial for you to have some of the following:
  • The ability and experience of independently managing a caseload providing sound commercial advice.
  • Strong technical skills and a willingness to learn.
  • Adheres to guidelines and procedures.
  • An understanding of clients’ needs and expectations.
  • Excellent communication skills both written and verbal.
  • Excellent organisational skills with the ability to prioritise.
  • Proficient in use of document management systems
  • Flexibility in approach and a willingness to work outside normal office hours, if required.
