As Company Secretary, you’ll be the guardian of governance, compliance, and corporate risk management across a complex, fast-growing, multi-entity business (currently c.55 entities and counting).
You’ll work closely with the Board, Executive Team, and wider business - going beyond traditional company secretarial duties to cover GDPR/Data Protection (as DPO), risk, assurance, and strategic governance projects.
You’ll have administrative support for routine filings, freeing you to focus on high-impact governance frameworks, Board effectiveness, and risk oversight.
Key Responsibilities
Board & Governance
- Arrange, attend, and minute key Board and committee meetings
- Prepare Board packs and follow up on agreed actions
- Advise on governance best practice, company law, and policy
- Lead Board effectiveness reviews and governance improvements
Entity Management & Compliance
- Oversee statutory registers and Companies House filings
- Manage incorporations, restructures, and intercompany agreements
- Maintain an up-to-date group structure chart
- Mentor junior governance talent in the team
Risk, Assurance & Data Protection
- Act as DPO, ensuring GDPR compliance across the Group
- Maintain and develop the Corporate Risk Register
- Oversee KYC, due diligence, and supplier governance processes
- Liaise on insurance coverage and renewals
Projects & Document Management
- Develop and maintain document management systems
- Support risk-based projects and assurance reviews
- Embed governance and compliance into operational processes
What We’re Looking For
- Significant senior CoSec/governance experience in a multi-entity group
- Strong knowledge of UK Company Law & Companies Act
- Experience as a Data Protection Officer or equivalent GDPR lead
- Exceptional organisational and stakeholder management skills
- ICSA (CGI) qualification or equivalent (desirable)
- Commercial mindset, integrity, and ability to handle sensitive matters
- Property sector experience a plus but not essential
